Service 3 / 9 · Company formation & structuring

The right structure, in the right country.

An OFM business run through a personal account, or through a company set up in a hurry, always gets stuck: at the bank, with the tax office, or when you want to sell. Choose the form and the country first, rather than undo everything later.

What exposes you

Three situations we see every week.

The personal account that takes everything

Mixed income, forgotten VAT or sales tax, no separation: the first inquiry reclassifies, the first bank closes.

The company set up for the wrong reason

An offshore company with no substance, a director who never left home: the tax office brings it back, with penalties.

No holding when you need one

Without a holding, every sale, every new partner, every reinvestment is taxed at full rate.

How it works

A questionnaire, a call, a deliverable, follow-up.

1A questionnaire on the business and plans

Where you and your team live, what you take in and in which currency, your partners, and what you want in three years: sell, raise, relocate or simply sleep well.

2A 15-minute call

We rule out the structures that do not hold and give you the form, the country, and the cost of setting up and running it. Written quote within 24 hours.

3The written recommendation

Two to four pages justifying each choice: form, country, capital, holding, flows, bank, accountant. Enough to convince a partner or a banker.

4Formation, banking, then follow-up

Set up with our local partners. Then a check-in at each milestone: first creator, first employee, first dividend.

What we cover

The scope, topic by topic.

United Kingdom: LTD

Quick and cheap to set up, easy for platforms and banks to read. Useful when the business or the team is really in the UK; a trap when the director lives elsewhere.

United States: LLC, S-Corp

Wyoming, Delaware or Florida LLCs are everywhere on social media and suit some profiles, not all. For US creators, the LLC or S-Corp election depends on income level.

UAE, Poland, Cyprus, Malta

FZCO in Dubai, Sp. z o.o. in Poland, Cypriot or Maltese companies: set up with our local partners, bank and accountant included, when the owner or the business is really there.

Sole trader or company

For a creator, operating in your own name is often enough up to a certain income; beyond that, a company changes tax, liability protection and credibility with banks.

Holding and group

A holding above the operating company to prepare a sale, bring in a partner or move dividends up. Useful from a certain level, costly before.

Flow chart

Who invoices whom, in which currency, with which tax, and how money moves between platform, agency, creator, chatters and partners. The chart the bank asks for and the tax office rebuilds.

Who it is for

Two businesses, one service.

FAQ

Frequently asked questions.

Do I need a company from day one?
Not always. A creator can start as a sole trader; a company becomes useful from a few thousand a month or once there are real costs. An agency needs one from its first contract.
Is a Dubai company legal?
Yes, if it is real: a director who lives there, a business actually run from there. A paper company run from elsewhere is taxed where it is really managed, with penalties.
Is a US LLC a good idea if I live outside the US?
Sometimes. An LLC does not erase its owner's tax residency, the reporting obligations or your bank's questions. We tell you when it makes sense and when it does not.
Can you set up the company for me?
Yes. Articles, registration, beneficial owners, bank account, accountant: we coordinate it all with our local partners. You sign, we handle the rest.
What if my current company no longer fits?
We adapt it: change of form, a holding, a foreign subsidiary or a clean closure, before the wrong structure collects growing income.
